1. Accepting these terms
By installing BadgerOS, creating an account, or buying a plan, you agree to these terms. If you do not agree, do not use the service. If you are agreeing on behalf of a company or other organisation, you confirm you have the authority to bind it, and “you” means that organisation.
You must be at least 13 years old to use BadgerOS, and at least 18 — or the age of majority where you live — to buy a paid plan. If you are under 18 and want a paid plan, a parent or guardian must buy it.
2. What BadgerOS is
BadgerOS is a control panel you install on a computer you control. It manages Minecraft servers that are already on, or that you create on, that machine. We provide:
- The panel software itself, and signed updates to it.
- A control plane that registers your installation, issues its licence, and serves updates.
- Optionally, a hosted dashboard link routed to your machine.
- Optionally, an AI assistant add-on.
We are not a hosting provider. We do not supply the server, the bandwidth, the storage or the uptime your Minecraft servers run on. Those are yours, and keeping them running is your responsibility.
3. Your account and your installations
You are responsible for keeping your account credentials and your panel's own credentials secret, and for everything done through them. Tell us promptly if you believe either has been compromised.
Each installation registers separately. We apply a limit on how many installations one account may register, to prevent one licence being spread across many machines; if you legitimately need more, ask and we will normally raise it. Do not attempt to defeat that limit, share licences between people, or run a paid installation on behalf of someone who has not paid.
4. Plans, prices and billing
- Free is free indefinitely for one Minecraft server, with no card required. We may change what Free includes, but we will not start charging for an existing Free installation without telling you first.
- Premium is billed monthly or yearly in advance, per installation.
- AI Assistant is an add-on billed monthly, per installation, on top of whichever plan you are on.
Prices are in US dollars and exclude tax unless stated otherwise. Where we are required to collect sales tax, VAT or similar, it is added at checkout. Payments are processed by Stripe; we never receive your card number. Subscriptions renew automatically at the then-current price until cancelled. If a payment fails, we may retry and may suspend paid features until it succeeds.
We may change prices. For existing subscribers, a price change takes effect at the next renewal and we will give at least 30 days' notice by email. You can cancel before it takes effect.
5. Metered AI usage
If you buy AI usage from us rather than supplying your own provider key, usage is metered by tokens and billed in arrears in addition to the add-on fee. Our published per-model rates include our margin over the underlying provider cost.
A monthly spending cap applies and is enforced before each request; when the cap is reached, further requests are refused rather than billed. The cap is a safety limit, not a guarantee — you remain responsible for usage incurred under your installation, including usage caused by a runaway loop or by someone else you have given access to your panel. Our metering records are the authoritative measure of what you used, absent manifest error.
6. Cancellation and refunds
You can cancel at any time. Cancellation takes effect at the end of the period you have already paid for, and you keep paid features until then.
Fees already paid are non-refundable, except: where the law where you live gives you a refund or cancellation right that cannot be waived, which we honour; and where we have charged you in error or the paid service was substantially unavailable for a prolonged period, in which case write to us and we will put it right. Metered AI usage already incurred is not refundable, because the underlying cost has already been paid to the provider.
7. Using the AI assistant
The assistant can read files, run commands, edit configuration, restart your server, and write and install plugins. That is the point of it, and it is also the risk. Specifically:
- It acts on your instructions and at your risk. An instruction that damages your server — deleting files, breaking a configuration, installing a plugin that corrupts a world — will be carried out. Sandboxing confines it to one server directory; it does not make its actions safe within that directory.
- Its output can be wrong. Language models produce confident, incorrect answers. Review changes to anything you care about, and keep backups you have tested.
- Generated plugins and code are provided as-is. You are responsible for reviewing anything it writes before you rely on it, and for making sure it complies with any licence, server rule or platform policy that applies to you. We make no claim that generated output is original, correct, secure, or free of third-party rights.
- It is exposed to whatever is in that directory. Do not point it at a directory holding secrets you would not send to a model provider. See the Privacy Policy for exactly what leaves your machine in each mode.
- You must not use the assistant to build anything that breaks section 8, or that violates the model provider's own usage policies.
As between you and us, you own the output the assistant produces for you, to the extent it is capable of being owned. We claim no rights in it.
8. Acceptable use
You must not use BadgerOS or our control plane to:
- Break the law, or infringe anyone's rights.
- Attack, overload, probe or reverse-engineer our infrastructure, or attempt to reach data that is not yours.
- Circumvent licensing, billing, instance limits or spending caps.
- Resell, sublicense or offer BadgerOS as a hosted service to third parties without our written agreement. Running it for servers you operate — including a community you run — is fine.
- Distribute malware, run phishing, mine cryptocurrency on our infrastructure, or use the AI relay as a general-purpose proxy unrelated to managing your server.
- Harass anyone, or use the service to store or distribute material that sexually exploits children or incites violence.
Uploads to our services are scanned automatically for malicious content. We may refuse anything that scan flags.
9. Your data and your responsibilities
Your worlds, player data, configuration and backups are yours and stay on your machine. We do not access them, and we could not restore them for you if you lost them.
If other people play on or administer your servers, you are the one responsible for their information and for whatever privacy law applies to you in respect of it. We are not a processor of that data because we never receive it.
10. Intellectual property
We own BadgerOS, its source code, the BadgerOS name and its branding. Subject to these terms and to your plan, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the software on machines you control, for as long as your plan is active. You may not remove licensing or attribution notices, or redistribute the software.
If you send us feedback or suggestions, we may use them without obligation or payment. That does not give us rights over your servers, your data or anything the AI assistant produces for you.
11. Third-party software and services
BadgerOS manages software we do not own — Minecraft server implementations such as Paper, Spigot, Purpur, Forge, Fabric and NeoForge, Velocity, and third-party plugins. Their licences and terms are between you and them, and you are responsible for complying with them, including Mojang's and Microsoft's terms for Minecraft itself. BadgerOS is not affiliated with, endorsed by, or sponsored by Mojang, Microsoft, or any of those projects.
We rely on Stripe, Cloudflare and Anthropic to deliver parts of the service. Their outages, changes or decisions can affect BadgerOS in ways we do not control.
12. Updates and changes to the service
BadgerOS installs signed updates automatically, and verifies the signature before installing. Updates may add, change or remove features. We may discontinue a feature; if we discontinue a paid feature you are actively paying for, we will give reasonable notice and a pro-rata refund of any prepaid fee for the remainder of that term.
13. Availability and beta features
We do not promise any particular uptime for the control plane. Your panel is designed to keep managing your servers when the control plane is unreachable; features that require it, such as activating a new purchase, will not work during an outage.
Anything we label beta, preview or experimental is provided without any commitment at all, and may change or disappear without notice.
14. Disclaimer of warranties
THE SERVICE AND THE SOFTWARE ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BADGER STUDIOS LLC DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT AI OUTPUT WILL BE ACCURATE, COMPLETE OR SUITABLE FOR ANY PURPOSE.
Some jurisdictions do not allow the exclusion of implied warranties, so parts of the above may not apply to you. Nothing here removes rights you have under consumer law that cannot be waived.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BADGER STUDIOS LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR — IMPORTANTLY — LOSS OR CORRUPTION OF DATA, WORLDS OR BACKUPS, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
Nothing in these terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or anything else that cannot lawfully be limited. Some jurisdictions do not allow certain limitations, so parts of the above may not apply to you.
16. Indemnity
You will indemnify and hold harmless Badger Studios LLC and its members, officers and agents from claims, damages, losses and reasonable legal costs arising from your use of the service, your breach of these terms, your content or your servers, or your infringement of anyone else's rights. We will tell you promptly about any such claim and let you control its defence, provided any settlement that imposes an obligation on us needs our consent.
17. Suspension and termination
You may stop using BadgerOS at any time by cancelling and uninstalling it.
We may suspend or terminate your access if you materially breach these terms, if your payment fails and stays unpaid, or if we are required to by law. For breaches we can reasonably let you fix, we will give notice and a chance to fix it first, unless the breach is serious enough — such as an attack on our infrastructure — that immediate suspension is warranted.
On termination, your licence ends and paid features stop. Your panel, your servers and your data remain on your machine and are unaffected; nothing we do deletes them. Sections 9 through 20 survive termination.
18. Governing law and disputes
These terms are governed by the laws of the State of Missouri, USA, without regard to its conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
You and we agree to the exclusive jurisdiction of the state and federal courts located in Missouri, and each of us consents to venue there. If you are a consumer resident in a jurisdiction whose law entitles you to bring proceedings locally or to the protection of its mandatory consumer law, nothing here takes that away.
Before filing anything, please email support@badgerstudios.net with a description of the dispute. Most things are resolved this way, and we agree to try in good faith for 30 days before either of us starts proceedings.
19. Changes to these terms
We may update these terms. For material changes we will give at least 30 days' notice by email to account holders and update the effective date above. If you do not accept a change, your remedy is to cancel before it takes effect; continuing to use the service after that means you accept it.

20. General
These terms, together with the Privacy Policy, are the entire agreement between you and us about the service, and replace any earlier understanding. If any provision is held unenforceable, the rest stays in force and that provision is narrowed to the minimum extent needed to make it enforceable. Our not enforcing something is not a waiver of it. You may not assign these terms without our consent; we may assign them to an affiliate or in connection with a merger or sale of the business. Neither of us is liable for failures caused by events genuinely beyond our reasonable control. There are no third-party beneficiaries.
